WINDSOR BUDDHIST VIHARA CONSTITUTION
SECTION l -NAME
The name of the organization shall be the Windsor Buddhist Vihara, hereinafter referred to as the Vihara (temple).
SECTION II - ADDRESS
The address of the Vihara shall be where the Vihara is located in the Windsor and Essex County in the Province of Ontario.
SECTION lII - OBJECTS
1.To establish a Vihara within the Windsor and Essex County area in the Province of Ontario according to the Theravada Buddhist tradition of Sri Lanka.
2.To promote the study and practice of the teachings of the Buddha.
3.To provide facilities for the teaching and practice of Bhavana (Meditation).
4.To support and maintain inter-religious communication and cultural exchange.
5.To establish and maintain a Buddhist library.
6.To establish and maintain a bookstore for the purpose of offering Buddhist books, periodicals, pamphlets, booklets and other literary and cultural works related to the objects of the Vihara for sale or for free distribution.
7.To acquire and hold real property for the purpose of setting up a place of worship, residence for Buddhist monks and an institution for the study of Buddhism.
8.To engage in activities related to Buddhist education and practices.
9.To inculcate the virtue of dana (giving) for charitable purposes such as funding orphanages, funding maintenance of homes for the elderly, funding the relief of poverty, funding natural disaster victims.
10.To support other organizations whose objects are similar to those of the Vihara.
SECTION lV - MEMBERSHIP
1. There shall be four categories of membership as follows:

(a) Family membership - Family membership shall be open to any person in a household 18 years of age and over including students registered in an educational institution among those who subscribes to the objects of the Vihara.

(b) Individual members - Individual membership shall be open to any person eighteen years of age and over among those who subscribes to the objects
of the Vihara.

(c) Student members – Student membership shall be open to any person 18 years of age and over who are registered students at an educational institution among those who subscribes to the objects of the Vihara.

(d) Life membership - Life membership shall be conferred on any person who makes a lump sum contribution of $5,000.00 (dollars five thousand) or more towards the development fund of the Vihara.

2. Application for membership:

(a) Application for membership shall be made on a form prescribed by the Board and submitted to the Hon. Secretary for the consideration of the Board.

(b) Where an application for membership is denied, the person shall have the right to have the decision of the Board reconsidered at a special general meeting of the members if such a meeting is requested by the members in good standing pursuant to Section X sub-clause 3(b).

3. Members in good standing - Any member who has paid the membership fees and remained a member for three consecutive months shall be deemed a member in good standing.

4. Revocation of membership – The Board may with a unanimous approval after considering a member’s explanation and upon a two-thirds majority vote of the members present at a special general meeting called for the purpose revoke the membership of any person whose conduct is contrary to the objects of the Vihara and may cause disrepute to the Vihara.

SECTION V - VOTING RIGHTS
1. Every member in good standing shall be entitled to one vote.

2. Any member entitled to vote may designate in writing another member as his or her proxy for any general meeting of the Vihara and vote on his or her behalf at the stated meeting and any adjournments thereof.

SECTION Vl - VIHARADHIPATHY (The Chief Resident Bhikkhu)
1. At the First General Meeting to be convened after the adoption of the Constitution, the members present shall by a majority vote appoint a Viharadhipathy ordained in the Theravada Buddhist tradition.

2. The Viharadhipathy shall be the spiritual head of the Vihara, be in-charge of the day-to-day activities of the Vihara and direct all spiritual activities of the Vihara.

3. There shall be a Council of Advisors composed of the Viharadhipathy as chairperson and three members in good standing two of whom shall be appointed by the Viharadhipathy and one member who is not an officer of the Vihara, elected at an annual general meeting, to hold office until the next annual general meeting to provide the Viharadhipathy with input from dayakas (devotees) on the spiritual programmes of the Vihara.

4. The Viharadhipathy may with the approval of the Board invite other monks to take up residence at the Vihara.

5. The Viharadhipathy may with the approval of the Board appoint a resident bhikkhu to perform his responsibilities during his temporary absence.

6. Should the position of the Viharadhipathy become vacant, the Board shall consult the Patron of the Vihara and /or Bhikkhus of other Theravada Buddhist Viharas for nominations and with the approval of a majority of members at a special general meeting called for the purpose appoint a new Viharadhipathy to fill the vacancy.

SECTION VIl - PATRON
The Viharadhipathy may in consultation with the Board appoint a Patron of the Vihara to advise on spiritual matters, adherence to the Vinaya (Code of Conduct) and provide general guidance on the proper functioning of the Vihara in accordance with the Theravada Buddhist traditions.
SECTION VIIl - BOARD OF DIRECTORS
1. The Board of Directors, hereinafter referred to as the Board, shall consist of the following office bearers:

(a) President – The Viharadhipathy

(b) The Vihara Trustee

(c) Hon. Secretary

(d) Five Directors at large

2. All members of the Board except the Viharadhipathy shall be elected at the annual general meeting to hold office as provided for in the Constitution.

3. The Vihara Trustee, hereinafter referred to as the Trustee, may remain as the Trustee from one annual general meeting to the next unless replaced by a majority vote of members present at the meeting or is replaced at a special general meeting called for that purpose by at least two-thirds majority vote of members present at the meeting.

4. At least three members, on a voluntary basis or a basis to be determined by the Board if fewer than three members volunteer, shall retire at each annual general meeting and be replaced by new members.

5. The Board shall appoint any member in good standing to fill any vacancy arising in the Board during the year to hold office until the next annual general meeting.

SECTION lX - DUTIES AND RESPONSIBILITIES OF THE BOARD OF DIRECTORS
1. The President:

(a) The President shall be the chief executive officer of the Vihara and generally supervise the administration of the Vihara in the furtherance of the objects of the Vihara, perform all duties incident to the office of President as may be required by law, the Constitution and as prescribed from time to time by the Board.

(b) The President shall delegate his responsibilities to the Vihara Trustee or to a resident bhikkhu during his temporary absence from the Vihara if considered necessary by the Board.

2. The Vihara Trustee

(a) The Trustee shall execute, in the name of the Vihara, contracts and other instruments with the approval of the Board and/or the general memberships as provided for in the Constitution.

(b) The Trustee shall be the custodian of all funds, securities and other assets of the Vihara and shall keep a record of all fixed assets acquired and disposed or written off as approved by the Board.

(c) The Trustee shall keep and maintain a proper record and account of all receipts and disbursements of funds, business transactions, income and expenses, assets, liabilities, designated reserves with adequate supporting documentation thereof.

(d) The Trustee shall deposit all funds received to the credit of the Vihara bank account or accounts authorized by the Board and maintain a petty cash system in an amount approved by the Board.

(e) The Trustee shall maintain a proper record of all charitable donations received in cash or in kind and be responsible and accountable for the issuance of charitable donation receipts including maintaining accountability of donations received and disbursed based on the activities or purpose for which the donations were received.

(f) The Trustee shall have a general supervisory role over all committees approved by the Board for fund raising activities.

(g) The Trustee shall have annual audited financial statements prepared for the approval of the general membership and prepare periodic financial reports whenever the Trustee deems necessary or whenever requested by the Board.

(h) The Trustee shall perform all other duties incident to the office of Trustee as may be required by law, the Constitution or as may be assigned by the Board.

(3) Hon. Secretary – The Hon. Secretary shall:

(a) Keep at the office of the Vihara a certified copy of the Constitution and amendments thereof.

(b) Keep at the office of the Vihara or at such other place as may be determined by the Board a book of minutes of all meetings of the Board and members recording therein the time and place of the meeting, nature of the meetings, notices given and the proceedings thereof.

(c) Keep membership applications received and approved by the Board along with a register of all members of the Vihara containing the name, address and date of becoming or ceasing to be a member of the Vihara.

(d) Ensure that all notices of meetings are duly given as provided for in the Constitution or as required by law in written or by electronic mail.

(e) In general, perform all duties incident to the office of Hon. Secretary and such other duties as may be required by law, by the Constitution or which the Board may assign from time to time.

4. Board Members

(a) Board members shall participate and assist in the general management of the Vihara and may be assigned responsibilities and duties by the Board from time to time in conducting the business and affairs of the Vihara.

(b) Any board member who is absent from three consecutive Board meetings without prior notice shall be deemed to have vacated the position in the Board.

5. Executive Committee

(a) The Board may appoint an Executive Committee consisting of the Viharadhipathy, the Trustee and two other members of the Board and delegate powers and authority of the Board to the Executive Committee to the extent permitted within the Constitution and the law.

(b) The Executive Committee shall keep a record of all meetings of the Committee and have the decisions taken subjected to ratification by the Board at its subsequent meetings.

6. Standing Committees and Ad-hoc Committees

The Board may with specific terms of reference appoint Standing Committees and Ad-hoc Committees chaired by Board members to facilitate the achievement of the objects of the Vihara.

SECTION X - MEETINGS
1. Board Meetings:

(a) The Board shall meet at least once bi-monthly on a day, time and place to be determined by the Board and in addition the Viharadhipathy or any three Board members may request that the Hon. Secretary convene a Board meeting on a convenient day, time and place.

(b) The quorum for Board meetings shall be a majority of members on the board.

2. Annual General Meeting

(a) The annual general meeting of the Vihara shall be held within one hundred and twenty (120) days after the fiscal year-end of the Vihara.

(b) The Hon. Secretary shall issue written notice of the annual general meeting at least two weeks prior to the date of the meeting to all members in good standing.

(c) The matters to be considered at the annual general meeting shall include tabling of the minutes of the previous general meeting and consideration of matters arising therefrom, adoption of the annual report of the Vihara, approval of the financial statements and auditors report, election of office bearers, appointment of an auditor and consideration of any other business provided for in the Constitution or approved by the Board.

(d) The quorum for an annual general meeting shall be one-fourth of the total voting membership of the Vihara and if a quorum is not present within 60 minutes of the of the stated time of the commencement of the meeting, the meeting shall be adjourned to a day not earlier than 7 days later and if there is still no quorum at that meeting within 60 minutes, the members present shall form the quorum

3. Special General Meetings

(a) The Board shall have the power to convene special general meetings to consider any special business provided written notice specifying the purpose of the meeting is issued to all members at least fourteen (14) days prior to the date of the meeting.

(b) The Board shall convene a special general meeting within 21 days upon the receipt of a written requisition of not less than one-fifth of the total voting membership of the Vihara for consideration of any specified special business. The Board shall convene a special general meeting of all members to be held at least 14 days from the date of issue of the notice of the meeting.

(c) The quorum for special general meetings shall be one-third of the total voting membership of the Vihara.

(d) If a quorum of a Board convened special general meeting is not present within 60 minutes of the stated time of the commencement of the meeting, the meeting shall be adjourned to a day not earlier than 7 days later and if there is still no quorum at that meeting within 60 minutes, the members present shall form the quorum

(e) If a quorum for a special general meeting requisitioned by the members is not present within 60 minutes of the stated time of the commencement of the meeting, the meeting shall be terminated and the Board shall be under no obligation to reconvene the meeting for the stated purpose.

SECTION Xl - NOMINATION COMMITTEE
1. There shall be a nomination committee composed of the Viharadhipathy, and two persons elected by the Board one of whom shall be a Board member and the other a member at large in good standing.

2. The nomination committee shall nominate members in good standing to stand for election to fill any vacancies that are to be voted upon at any general meeting.

3. Members in good standing present at the general meeting shall have the right to nominate other candidates for the position from among those who are present at the meeting or with written consent from members not present at the meeting indicating their willingness to be nominated for the specified positions.

SECTION XIl - FINANCES
1. Fiscal Year - The fiscal year of the Vihara shall be the calendar year.

2. Membership fees

(a) Membership fees, due within the first ninety days of the each fiscal year, shall be determined at the inaugural meeting of the Vihara and thereafter re-determined at each annual general meeting of the Vihara.

(b) The Board shall have the discretion to reduce or waive membership fees due from any member for a stated period in the fiscal year where the levying of such fees in the unanimous opinion of the Board is not warranted based on the financial circumstances of the member

3. The Board shall obtain the prior approval of the members for borrowings from external sources other than advances from members and financing normally provided by suppliers of goods and services with the passage of a resolution by two-thirds of the members present at a general meeting called for that purpose.

4. All disbursements of Vihara funds in excess of $500.00 shall have the prior approval of the President and the Vihara Trustee and be subjected to the approval of the Board on a periodic basis.

5. The Board shall obtain the prior approval of the general membership for major expenditures involving amounts in excess of a sum to be specified at a general meeting of members.

6. The Vihara may with the approval of two-thirds of the members present at a general meeting; elect Property Trustees to accept gifts of real property or purchase real property provided the trust indenture specify:

the legal title to the property is vested in the Property Trustees on behalf of the Vihara for the Vihara’s own charitable purposes and that the Property Trustees are bound to apply the property for the charitable purposes of the Vihara

the provision for the replacement of the Property Trustees acting on behalf of the Vihara

the trust indenture is registered against the title of the property under the property title laws of the Province of Ontario.

7. All disbursements of funds shall be by cheques signed either by the Trustee or in his or her absence the President.

8. An auditor who is an independent Public Accountant or a member in good standing and qualified for the purpose other than an elected officer of the Vihara shall be appointed at each annual general meeting or a special general meeting called for the purpose to audit the financial records of the Vihara, report to the membership at the annual general meeting and be required to audit the records if so directed by the Board at any time and report to the Board thereon.

9. Remunerations - No elected officer or member of the Vihara other than persons employed by the Vihara shall receive any remuneration for any service rendered to the Vihara nor profit from any activities undertaken for and on behalf of the Vihara other than being reimbursed for reasonable expenses incurred by them while performing such service.

10. The Vihara shall be carried on without the purpose of gain for its members and any profits or other accretions to the Vihara shall be used in promoting its objects

11. The Board may with the approval of the general membership employ any person or persons it deems proper to perform duties for which such approval has been granted by the membership.

SECTION XIIl - LIABILITY AND INDEMNIFICATION
1. Every officer of the Vihara or any member or person specifically authorized who has undertaken or is about to undertake any liability on behalf of the Vihara including their heirs, executors, administrators and assigns shall be indemnified and saved harmless from and out of the funds of the Vihara.

2. Unless so authorized, no officer, agent or employee shall have the power or authority to bind the Vihara by any contract or engagement or to pledge its credit or to render it liable monetarily for any purpose or in any amount.
SECTION XlV - AMENDMENTS
The Constitution shall not be amended whether in whole or in part unless prior written notice detailing the proposed changes is issued to all members at least fourteen days prior to the date of the meeting and at least three-fourths of the members present approve such amendments.
SECTION XV - LIQUIDATION
1. A resolution to liquidate, dissolve or wind-up the affairs of the Vihara shall require the approval of a two-thirds majority of members present at a special general meeting called for the purpose.

2. Upon liquidation, dissolution or winding-up of the Vihara, all remaining assets of the Vihara shall after satisfying all its obligations and meeting all its liabilities be distributed among one or more recognized charitable organizations with similar objects registered pursuant to the Income Tax Act.
